These Terms of Service ("Terms") govern your use of the document management platform and related services ("Services") operated by IGEARS TECHNOLOGY LIMITED ("Company," "we," "us"). The Services are offered under the product brand fileEC. By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
The Services are intended for business use. You must be at least 18 years old and have authority to bind your organization. Use is void where prohibited by law.
To access paid or full-featured Services, you must create an account and provide accurate information. You are responsible for all activity under your account and for safeguarding credentials. Notify us promptly of unauthorized access. We are not liable for losses from unauthorized use caused by your failure to safeguard credentials.
You must use the Services only for lawful purposes. You must not: upload content you lack rights to use; use the Services for illegal purposes or to violate others' rights; attempt unauthorized access; interfere with or disrupt the Services; overburden our infrastructure. We may suspend or terminate access if we reasonably believe you have violated these Terms or applicable law.
You retain ownership of Customer Content. You grant us a limited license to process, store, and transmit Customer Content solely to provide the Services. You represent that you have all necessary rights to upload and process Customer Content. You are responsible for ensuring it complies with applicable laws and these Terms.
Paid plans are subscription-based. Fees are billed in advance. Pricing and payment terms are set forth at signup and in your account. We may change pricing with reasonable notice; continued use constitutes acceptance. Refunds follow our refund policy disclosed at purchase.
We strive to maintain availability but do not guarantee uninterrupted access. We may perform maintenance with advance notice when practicable. We are not liable for downtime caused by factors outside our reasonable control.
The Services, software, design, trademarks, and materials we provide (excluding Customer Content) are owned by IGEARS TECHNOLOGY LIMITED or its licensors. You may not copy, modify, distribute, sell, or create derivative works except as expressly permitted, or reverse engineer except as permitted by law.
Our collection and use of personal data are described in our Privacy Policy. Data processing may be subject to a separate data processing agreement where required.
You may close your account at any time. We may suspend or terminate access with or without notice for violation of these Terms, non-payment, or to protect the Services. Upon termination, your right to use the Services ceases. We may retain or delete Customer Content in accordance with our retention practices and applicable law.
To the fullest extent permitted by law, IGEARS TECHNOLOGY LIMITED and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of data, profits, or business opportunities. Our total liability shall not exceed the fees you paid in the twelve (12) months preceding the event giving rise to the claim.
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Disputes shall be resolved in the courts of England and Wales, unless applicable law requires otherwise.
We may update these Terms from time to time. We will update the "Last Updated" date and, for material changes, provide notice. Continued use constitutes acceptance of revised Terms.
